These Terms and Conditions ("Terms") govern your access to and use of the Qipp service ("Service") operated by QIPP Ltd. ("Company", "we", "us", or "our"), a company registered in England and Wales.
1. Definitions
- "Service" means the Qipp web application accessible at https://www.q-ipp.com/ and any associated mobile applications or APIs.
- "User", "you", or "your" means any individual or entity that creates an account and uses the Service.
- "Client" or "Recipient" means any third party to whom you send invoices using the Service.
- "Subscription" means a paid plan (Basic or Pro) that provides access to additional features.
- "Content" means any data, text, images, logos, or other materials you upload, create, or transmit through the Service.

3. Acceptance of Terms
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.
4. Eligibility and Account Registration
4.1 Eligibility
The Service is available to individuals and businesses. There is no age restriction for using the Service, however you must have the legal capacity to enter into a binding contract in your jurisdiction.
4.2 Account Creation
To use the Service, you must create an account by providing your full name, email address, and a password. You must verify your email address before gaining full access to the Service.
You are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorised use of your account
4.3 Business Profile
You may configure a business profile including your business name, address, phone number, email, and logo. You represent that you have the right to use any business information and branding you provide.
5. Service Description
5.1 Core Functionality
Qipp is a SaaS invoicing tool that enables you to:
- Create and manage professional invoices
- Add promotional upsell blocks to invoices (paid plans only)
- Send invoices via email (paid plans only)
- Download invoices as PDF
- Track invoice engagement and upsell clicks (paid plans only)
- Accept online payments via Stripe Connect (Pro plan only)
5.2 Supported Currencies
The Service supports invoicing in GBP, USD, and EUR.
6. Subscription Plans and Pricing
6.1 Available Plans

6.2 Free Trial
Basic and Pro plans include a 14-day free trial. You may cancel at any time during the trial period without charge.
6.3 Billing
Subscriptions are billed monthly in advance via Stripe. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis until you cancel.
6.4 Cancellation and Refunds
You have a statutory 14-day cooling-off period from the date of your initial subscription during which you may cancel for a full refund. After the cooling-off period, you may cancel your subscription at any time. Upon cancellation:
- Your access to paid features continues until the end of your current billing period
- No partial refunds are provided for unused portions of a billing period
- Your account will revert to the Free plan at the end of the billing period
6.5 Price Changes
We may change subscription prices with 30 days' notice. Price changes will take effect at the start of your next billing period following the notice.
7. User Responsibilities and Acceptable Use
7.1 Lawful Use
You agree to use the Service only for lawful purposes. Provided your use is legal in your jurisdiction, we do not impose industry-specific restrictions.
7.2 Invoice Accuracy
You are solely responsible for:
- The accuracy of all invoice information you create
- Compliance with applicable tax laws, including VAT obligations
- Ensuring your invoices meet legal requirements in your jurisdiction
7.3 Upsell Content
When using upsell blocks, you are responsible for:
- The accuracy and legality of upsell copy and descriptions
- The content and safety of destination URLs you provide
- Ensuring your promotional content does not violate any laws or third-party rights
7.4 Email Communications
When sending invoices via the Service, you must:
- Only send invoices to recipients with whom you have a legitimate business relationship
- Not use the Service to send spam, unsolicited commercial communications, or bulk marketing
- Comply with applicable email marketing laws including the UK PECR and EU ePrivacy Directive
7.5 Prohibited Activities
You must not:
- Use the Service for any illegal purpose
- Transmit any malware, viruses, or harmful code
- Attempt to gain unauthorised access to the Service or other users' accounts
- Interfere with or disrupt the Service's infrastructure
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to harass, abuse, or harm others
- Resell or redistribute access to the Service without our written consent
8. Intellectual Property
8.1 Your Content
You retain all ownership rights in the Content you create or upload to the Service, including invoices, business branding, and upsell copy.
By using the Service, you grant us a limited, non-exclusive licence to host, store, display, and transmit your Content solely as necessary to provide the Service to you.
8.2 Our Intellectual Property
The Service, including its design, features, code, and documentation, is owned by QIPP Ltd. and protected by intellectual property laws.
The pre-written upsell templates provided within the Service are licensed for your use within the Service only. You may not redistribute these templates as standalone products.
8.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use such feedback without restriction.
9. Third-Party Services
9.1 Payment Processing
Payments are processed by Stripe. By using payment features, you agree to Stripe's terms of service. Qipp is not a payment processor; we facilitate payments through Stripe Connect. We do not hold funds at any time.
9.2 Email Delivery
Invoice emails are sent via Resend from the domain mail.q-ipp.com. Email deliverability depends on factors outside our control.
9.3 External URLs
Upsell blocks may contain links to external websites you specify. We do not control, endorse, or assume responsibility for the content or practices of any third-party websites.
10. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data. By using the Service, you consent to our data practices as described in the Privacy Policy.

11. Service Availability
11.1 No Uptime Guarantee
While we strive to maintain high availability, we do not guarantee any specific uptime or service level. The Service is provided on an "as available" basis.
11.2 Maintenance
We may perform scheduled or emergency maintenance that temporarily affects Service availability. We will endeavour to provide advance notice of scheduled maintenance where practicable.
12. Limitation of Liability
12.1 Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Qipp is a business tool, not an accounting, tax, or legal service. We do not provide professional advice and you should consult appropriate professionals for such matters.
12.2 Limitation of Damages
To the maximum extent permitted by law, in no event shall QIPP Ltd., its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
12.3 Consumer Rights
Nothing in these Terms affects your statutory rights as a consumer under UK law. If you are a consumer, the limitations above apply only to the extent permitted by applicable consumer protection laws.
13. Indemnification
You agree to indemnify, defend, and hold harmless QIPP Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your Content or invoice data
- Your violation of these Terms
- Your violation of any third-party rights
14. Account Termination
14.1 Termination by You
You may delete your account at any time through your account settings or by contacting us at hello@q-ipp.com. Upon account deletion:
- Your subscription will be cancelled
- Your data will be deleted in accordance with our data retention policy
14.2 Termination by Us
We may suspend or terminate your account if you violate these Terms. In cases of material breach, we may terminate immediately without notice. In other cases, we will provide reasonable notice and opportunity to cure the violation where practicable.
14.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.
15. Governing Law and Disputes
These Terms are governed by the laws of England and Wales.
Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer, you may also have the right to bring proceedings in the courts of your country of residence.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and Data Processing Agreement, constitute the entire agreement between you and QIPP Ltd. regarding the Service.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
